It contains important information about using images (photographic and digital) provided by Inter-State Studio (“ISS”).

BY DOWNLOADING, COPYING OR OTHERWISE USING ANY ISS IMAGES, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT, INCLUDING THE LIMITED WARRANTIES AND LIMITATION OF LIABILITY PROVISIONS BELOW. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT UTILIZE ANY ISS IMAGES.

1. ISS owns the images, which are protected both by United States laws and international treaty provisions. You receive a limited license right to use the images, as described below.

2. ISS grants you the right and license to use the ISS images only for the following purposes:

a. Publishing class panel pages (traditional printed or read-only electronic) for a school yearbook, school annual, or memory book for the school student body.
b. Importing into the school’s administrative software program(s) for library, food service, attendance, security, scheduling, grade reporting, class curriculum and district/school database applications and for all functions for which the software is capable.
c. Creating school newsletters by internal staff.
d. Posting on school web pages (staff and faculty images only, not student images).

3. You may not use the licensed images for the following purposes:

a. Producing yearbook covers, yearbook or memory book sections other than class page sections, or alumni yearbooks.
b. Reproducing the images for any commercial purposes, such as the manufacture of products or services for resale. This applies to portraits or portrait products, stationery products such as announcements and greeting cards, and CD ROM products.
c. Posting on the Internet, other than school web pages as described in paragraph 2d above.
d. Copyrighting and/or distributing digital images or prints made from digital images to the subjects themselves, or to their parents or guardians, or to any third party.
e. Copying, reproducing, modifying, sublicensing, reverse-engineering or transferring in the images or any copy, modification or merged portion, in whole or in part, except as expressly stated in this Agreement or as stated in writing by advance arrangement with ISS. 4. This license is effective while you are a current customer of ISS and will terminate automatically should you no longer be a current customer of ISS.

5. You agree upon termination of this Agreement to destroy these images in all forms.

6. This Agreement shall be governed by the laws of Missouri.

7. Limited Warranties and Limitation of Liability:

a. You assume responsibility for selecting the product to achieve your intended results and for the installation, use, and results obtained from the images.
b. ISS warrants that these images will be free from defects in materials and workmanship under normal use for a period of ninety (90) days from the date of purchase.
c. ISS DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THESE IMAGES. TO THE EXTENT NO DISCLAIMER OF IMPLIED WARRANTIES IS ALLOWED BY LOCAL LAWS, THE IMPLIED WARRANTIES ARE LIMITED IN TIME TO THE DURATION OF THIS WARRANTY.
d. ISS’ entire liability and your exclusive remedy shall be the replacement of images that do not meet the limited warranty set forth hereinabove and which are returned to ISS.
e. IN NO EVENT WILL ISS BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY (MONETARY) LOSS ARISING OUT OF THE USE OF OR INABILITY TO USE THIS PRODUCT. SOME STATES DO NOT ALLOW THE EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
